In business, as in private life, there are often differences of opinion between partners. Sometimes, too, the original form of doing business is no longer satisfactory to us. Whatever the reason for the decision to dissolve a general partnership, it should be remembered that the process, can be complicated.
The reasons for dissolving a general partnership are indicated in Art. 58 § 1 of the Commercial Companies Code (hereinafter: “CCC“) and include:
- reasons provided for in the articles of association,
- A unanimous resolution of all shareholders,
- declaring the company bankrupt,
- The death of the partner or the declaration of his bankruptcy,
- termination of the partnership agreement by a partner or a creditor of a partner,
- A final court decision.
As a rule, in the above cases, the dissolution of a general partnership requires its liquidation (Article 67 § 1 of the Commercial Companies Code). However, this is a lengthy and formalized process that, in some cases, can be avoided. In fact, the legislator has provided for the optional possibility of dissolving the company in a situation where the partners have agreed on a method of ending the company’s business other than liquidation.
The conditions to be met then are:
- adoption by the shareholders of a unanimous resolution to dissolve the company without liquidation,
- Establish rules for the acquisition of assets by one of the partners or the distribution of assets among the partners,
- Satisfying the company’s liabilities,
- Submission of an application for deletion of the company from the National Court Register (KRS).
Dissolving a company without liquidation significantly speeds up the process of ending its operations, and makes it simpler and less costly. However, it is important to make sure that we can use it in any situation.
